These Terms of Service (“Terms”) govern your access to and use of Spendifique, a software service provided by Fingarde Technologies Inc. (“Fingarde,” “we,” “us,” or “our”).
By creating an account, accessing, or using Spendifique, you agree to these Terms. If you use Spendifique on behalf of a business, client, or other organization, you represent that you have authority to bind that organization to these Terms.
If you do not agree to these Terms, you may not use Spendifique.
1. About Spendifique
Spendifique is a software service designed to help businesses, bookkeepers, and accounting firms capture receipts and invoices, extract document data, organize expense information, and support accounting workflows.
Depending on your plan and usage, Spendifique may allow you to:
- upload documents
- extract fields from documents
- suggest categorizations
- flag possible duplicates
- review expense data
- export information
- sync or export data to supported accounting platforms
- import selected accounting data from integrations
- collaborate across firm and client workspaces
Spendifique may change over time. Features, workflows, integrations, limits, and pricing may be updated, added, modified, or removed.
2. Business Use and Eligibility
Spendifique is intended for business and professional use only. It is not intended for personal, household, or consumer use.
You may use Spendifique only if:
- you are legally able to enter into a binding agreement
- you are at least the age of majority where you live
- you are using the service for lawful purposes
If you create, access, manage, or pay for a workspace on behalf of a business, client, or other organization, you represent that you are authorized to do so.
Spendifique is intended for adults and businesses and is not directed to children.
3. Accounts, Workspaces, and Roles
You must provide accurate account information and keep your login credentials secure.
Spendifique supports different user roles and permission levels. Some roles may be able to manage settings, billing, integrations, exports, or user access, while others may have more limited permissions. We may rely on the permissions configured in the product and on instructions from authorized workspace admins.
Workspace control
The business or organization associated with a workspace controls the data in that workspace.
If a bookkeeping firm, accountant, or other service provider creates, accesses, manages, pays for, or uploads documents into a client workspace, it does so as an authorized user or agent of that client. Documents and data in that workspace are treated as the client organization’s workspace data.
If the relationship between a client and a bookkeeping firm or other service provider ends, the client may retain the workspace and remove that service provider’s access, subject to reasonable security and verification procedures.
If there is a dispute over workspace ownership, authority, or access, we may require verification, documentation, or other reasonable steps before acting.
4. Your Content
As between you and Fingarde, you or your organization retain ownership of the documents, data, and other content you submit to Spendifique (“Customer Content”).
You grant Fingarde a non-exclusive, worldwide, limited license to host, store, copy, process, transmit, analyze, display, and otherwise use Customer Content only as reasonably necessary to:
- provide, operate, secure, support, and improve the service
- maintain backups
- investigate abuse or security issues
- comply with law
- enforce these Terms
You are responsible for Customer Content that you upload, submit, email into the platform, export, or share through Spendifique. You represent that you have the necessary rights, permissions, and authority to do so.
You may not upload or process content that is illegal, infringing, malicious, or unauthorized for you to use or disclose.
5. Aggregated and De-Identified Data
We may collect, use, analyze, and create aggregated, anonymized, or de-identified data derived from the use of Spendifique for lawful business purposes, including:
- operating and securing the service
- improving and supporting the service
- analyzing service usage
- developing reports and insights
- improving product performance and functionality
This data will not identify you, your organization, or any individual as the source.
For clarity, this section does not give us the right to publicly disclose your Customer Content in identifiable form, and it does not change any specific commitments we make elsewhere in these Terms or in our Privacy Policy regarding identifiable customer data.
6. Your License to Use Spendifique
Subject to these Terms and payment of applicable fees, Fingarde grants you a limited, non-exclusive, non-transferable, non-sublicensable right to access and use Spendifique for your internal business or professional purposes.
You may not:
- use Spendifique to build a competing service
- resell the service unless we expressly authorize it
- use the service in a way that exceeds the rights granted under these Terms
7. Electronic Communications
By using Spendifique, you consent to receive communications from us electronically, including by email, through the service, or through other electronic means we make available.
These communications may include:
- account notices
- onboarding messages
- billing notices
- payment reminders
- security alerts
- legal notices
- policy updates
- other service-related communications
You agree that electronic communications from us satisfy any legal requirement that those communications be in writing, to the extent permitted by law.
You are responsible for keeping your contact information, including your email address, current and accurate.
8. AI, OCR, and Output Limitations
Spendifique uses OCR and AI-assisted processing for features such as document extraction, categorization suggestions, duplicate detection, field normalization, and confidence scoring.
Because these features involve automated processing, outputs may contain errors, omissions, inconsistencies, or incorrect categorizations. You remain responsible for reviewing and approving extracted data, categorizations, tax-related suggestions, exports, sync results, and accounting treatment before relying on them.
Spendifique is a software tool only. It does not provide accounting, bookkeeping, tax, legal, audit, or other professional advice or services, and it does not guarantee accounting, tax, or regulatory compliance.
9. Integrations and Third-Party Services
Spendifique may work with third-party products and services such as QuickBooks Online, Xero, Google Sign-In, Stripe, and others.
Some integrations are user-directed and work only if you choose to connect them. Third-party services are outside our control. Their availability, APIs, permissions, requirements, and terms may change at any time.
We do not guarantee that:
- any integration will remain available
- any sync or export will always succeed
- third-party systems will always preserve or reflect your intended accounting treatment
You are responsible for complying with the terms of any third-party services you connect to Spendifique.
10. Billing, Plans, and Cancellation
Spendifique currently offers:
- a free plan with 30 scans followed by pay-as-you-go options
- a Business Plan
- Bookkeeper pricing based on the number of client accounts
Current pricing may be shown on our website or in-product billing pages. Pricing, plan structure, feature access, and usage limits may change over time.
Auto-renewal
Paid subscriptions renew automatically unless canceled before the renewal date.
Payments
We use Stripe to process payments. We do not store your full payment card details ourselves. By providing payment information, you authorize us and our payment processor to charge applicable subscription fees, taxes, and recurring charges.
You must provide current, complete, and accurate billing information and keep it updated. You are responsible for promptly updating your billing details if your payment method changes, expires, is canceled, or you become aware of a possible security issue affecting it.
Taxes
Fees do not include applicable taxes unless stated otherwise. You are responsible for applicable taxes associated with your subscription, except taxes based on our net income.
For subscriptions sold by Fingarde from British Columbia, Canada, we currently charge applicable GST and PST where required.
Cancellation
You may cancel a paid subscription at any time. Cancellation takes effect at the end of the current billing period. Unless required by law, we do not provide refunds or prorated refunds for unused time.
Free usage
The initial 30 free scans do not automatically convert into a paid subscription, and a credit card is not required to create an account. After those scans are used, users may choose to pay per scan or subscribe.
Failed renewal payments
For failed renewal payments, Spendifique may allow a 14-day grace period while Stripe attempts to recover payment using Smart Retries. During that period, the customer may retain temporary access to paid features.
If payment is not successfully collected by the end of that period, the subscription may be canceled or downgraded, and access to paid features may be restricted or removed.
For new subscriptions, paid access begins only after the initial payment is successfully processed.
No reliance on future features
Your purchase of a subscription is based on the service, features, and functionality made available to you at the time of purchase.
Unless we expressly agree otherwise in writing, your purchase is not contingent on the delivery of any future feature, functionality, integration, product update, or roadmap item, and you should not rely on any sales, marketing, support, or other statements about future development plans when making a purchase decision.
Pricing changes
If we make a material pricing change affecting an existing paid plan, we will provide reasonable prior notice.
11. Availability and Service Changes
We work to make Spendifique useful and available, but we do not guarantee uninterrupted, error-free, or always-available service.
The service may be unavailable or degraded from time to time because of:
- maintenance
- updates
- bugs
- security issues
- capacity constraints
- third-party failures
- factors outside our control
We may modify, suspend, discontinue, add, or remove any feature, integration, or part of the service at any time. Where reasonably practical, we will try to provide notice of material adverse changes to paid features.
12. Acceptable Use
You may not use Spendifique in a way that:
- is unlawful
- infringes others’ rights
- uploads malicious code
- interferes with the service
- attempts unauthorized access
- bypasses security measures
- scrapes or automates use in an unauthorized way
- reverse engineers the service except where permitted by law
- misuses integrations or exports
- bypasses intended role or account structures
- uses the service on behalf of another person or organization without proper authority
You also may not engage in abusive, threatening, or harassing conduct toward our staff, users, or service providers.
13. Suspension and Termination
We may restrict, suspend, or terminate access to Spendifique if we reasonably believe that:
- you have violated these Terms
- payment has failed or remains overdue
- your use creates legal or security risk
- your account is involved in fraud or abuse
- immediate action is needed to protect the platform, customer data, users, or others
Where reasonably practical, we may provide notice and an opportunity to resolve the issue before suspension, especially for billing problems or less serious violations.
We may suspend access immediately where we reasonably believe immediate action is necessary for security, fraud prevention, legal compliance, or protection of the service or others.
You may stop using Spendifique at any time. Termination or cancellation does not automatically delete workspace data.
14. Data Retention, Export, and Deletion
Canceling a subscription does not automatically delete account or workspace data. Some data may remain unless separately deleted, and certain records may be retained for legal, billing, fraud-prevention, security, audit, dispute-resolution, backup, and operational purposes.
Spendifique currently supports only partial export and partial deletion in some areas. Some data can be exported or deleted, while other categories are not yet fully exportable or removable. Please see our Privacy Policy for more detail.
You are responsible for maintaining your own backup copies of Customer Content to the extent you need them. While we maintain backups for operational purposes, we do not guarantee that any specific Customer Content will always be available, recoverable, or retained for any particular period.
15. Intellectual Property
Spendifique, including its software, design, interface, branding, and underlying technology, is owned by Fingarde or its licensors and is protected by intellectual property laws.
These Terms do not give you ownership of Spendifique or our intellectual property. Except as expressly permitted by these Terms or by law, you may not copy, modify, distribute, sell, lease, sublicense, or create derivative works based on the service.
16. Feedback
If you send us suggestions, ideas, feedback, or feature requests relating to Spendifique or our services (“Feedback”), you assign to Fingarde all right, title, and interest in and to that Feedback.
To the extent any such rights do not automatically vest in Fingarde or cannot be assigned, you grant Fingarde a worldwide, perpetual, irrevocable, royalty-free, fully paid, transferable, sublicensable right and license to use, reproduce, modify, adapt, publish, distribute, commercialize, and otherwise exploit that Feedback for any lawful purpose without compensation or obligation to you.
17. Disclaimers
Spendifique is provided on an “as is” and “as available” basis.
To the maximum extent permitted by law, Fingarde disclaims all warranties and conditions, whether express, implied, statutory, or otherwise, including implied warranties or conditions of merchantability, fitness for a particular purpose, title, and non-infringement.
Without limiting that, we do not warrant that OCR, extraction, categorizations, mappings, duplicate detection, tax-related suggestions, exports, sync results, or third-party integrations will always be accurate, complete, available, or suitable for your specific use.
18. Limitation of Liability
To the maximum extent permitted by law, Fingarde and its directors, officers, employees, contractors, affiliates, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, goodwill, business opportunity, data, or use, arising out of or related to Spendifique or these Terms, even if we were advised that such damages were possible.
To the maximum extent permitted by law, Fingarde’s total aggregate liability arising out of or related to the service or these Terms will not exceed the greater of:
- the total amount you paid us for Spendifique in the 12 months before the event giving rise to the claim, or
- $100 CAD
Some jurisdictions do not allow certain limitations of liability, so parts of this section may not apply to you.
19. Indemnity
You will defend, indemnify, and hold harmless Fingarde and its directors, officers, employees, contractors, affiliates, and service providers from and against claims, liabilities, damages, losses, and reasonable costs and expenses arising out of or related to:
- your Customer Content
- your misuse of the service
- your violation of these Terms
- your violation of applicable law
- your use of the service on behalf of a client, business, or organization without proper authority
20. Governing Law and Dispute Resolution
These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable there, without regard to conflict of laws principles.
If a dispute, claim, or controversy arises out of or relates to these Terms or the service, you and Fingarde agree to first try to resolve it informally.
The party raising the dispute must send written notice describing the issue in reasonable detail. The parties will then have at least 30 days to try to resolve it.
If the dispute is not resolved informally within that time, either party may bring the dispute before the courts located in British Columbia, Canada, and you and Fingarde agree that those courts will have exclusive jurisdiction over the dispute, unless applicable law requires otherwise.
Nothing in this section prevents either party from seeking urgent injunctive, equitable, or similar relief where reasonably necessary to prevent immediate harm, misuse of the service, unauthorized access, infringement, or security-related harm.
21. Changes to These Terms
We may update these Terms from time to time to reflect changes to the service, our practices, legal requirements, or operational needs.
If we make a material change, we may provide notice through the service, by email, or by other reasonable means.
By continuing to use Spendifique after updated Terms take effect, you agree to the updated Terms. If you do not agree to the updated Terms, you must stop using the service.

23. Survival
Any provisions of these Terms that by their nature should survive suspension, termination, cancellation, or expiration of your access to Spendifique will survive, including provisions relating to payment obligations accrued before termination, Customer Content rights, aggregated, anonymized, and de-identified data, intellectual property, feedback, disclaimers, limitation of liability, indemnity, governing law, dispute resolution, and general terms regarding interpretation, assignment, and enforceability.
24. General Terms
These Terms, together with any policies or documents expressly incorporated by reference, constitute the entire agreement between you and Fingarde regarding your use of Spendifique and supersede prior or contemporaneous understandings relating to the service.
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect.
Our failure to enforce any provision of these Terms is not a waiver of that provision or of any other right.
You may not assign, transfer, delegate, or sublicense these Terms or any of your rights or obligations under them without our prior written consent. We may assign or transfer these Terms, in whole or in part, in connection with a merger, acquisition, corporate reorganization, sale of assets, or by operation of law.
Section headings are for convenience only and do not affect interpretation. In these Terms, “including” means “including without limitation.”
